CONSTITUTION, BYLAWS, AND STATEMENT OF FAITH OF THE 21ST CENTURY DISCIPLES OF THE CHRIST LLC OPERATED AS A MINISTRY WITH CORPORATE-STYLE GOVERNANCE

DBA Tr1chotomy Ventures - Ran by The 21st Century Disciples of the Christ LLC - Reads as INC, Filed as LLC ARTICLE I - NAME, STRUCTURE, PURPOSE, AND BUSINESS ARMS

1.1 Legal Name: THE 21ST CENTURY DISCIPLES OF THE CHRIST LLC, Michigan LLC organized as Ministry and Church under 508(c)(1)(A). This Constitution reads with corporate-style governance (Board, Officers, Conflict, Finances, Amendments) for IRS 14-point church test and insurance, but filed as LLC per MCL 450.4201.

1.2 Assumed Names: Tr1chotomy Ventures is DBA and business arm ran by THE 21ST CENTURY DISCIPLES OF THE CHRIST LLC for any future lawful ventures as led by Yah. Filed with LARA as DBA. Symbol: 3 inside 1 (Tr1chotomy = Body, Soul, Spirit in One).

1.3 Other Common-Law Ministries, Media Arms, YouTube Channels, Social Media, and Websites:

a. Common-Law Ministries: Terr Bear's Misfits (crafting and charitable ministry), The 21st Century Disciples of the Christ Academy (education and discipleship ministry), and any future media, outreach, charitable, or educational arms as established by the Managing Member.

b. YouTube Channels and Media Arms: All YouTube channels, Rumble channels, Facebook Watch, and other video platforms operated under THE 21ST CENTURY DISCIPLES OF THE CHRIST LLC DBA Tr1chotomy Ventures, including but not limited to ministry teaching channels, Terr Bear's Misfits crafting channel, The 21st Century Disciples of the Christ Academy channel, and any future media, outreach, or charitable arms as established by the Managing Member. All media content remains under moral oversight of the ministry and consistent with Statement of Faith.

c. Social Media: All social media accounts, pages, groups, and profiles operated under the ministry and Tr1chotomy Ventures including Facebook, Instagram, Threads, TikTok, X (Twitter), YouTube Community, Discord, and any future social platforms as established by the Managing Member. All social media remains under moral oversight of the ministry.

d. Websites and Digital Platforms: Official website www.the21stcenturydisciplesofthechrist.com and any future websites, domains, blogs, e-commerce sites, or digital platforms operated under THE 21ST CENTURY DISCIPLES OF THE CHRIST LLC DBA Tr1chotomy Ventures as established by the Managing Member. All websites remain under moral oversight of the ministry and consistent with Statement of Faith. All digital assets are property of the LLC.

e. Future Arms: Any future media, outreach, charitable, or educational arms, channels, accounts, or websites as established by the Managing Member shall automatically be considered part of this ministry and governed by this Constitution.

1.4 Principal Office: Port Huron, Michigan 48060. Preference St. Clair County (Marysville, St. Clair, Marine City, Fort Gratiot, Kimball, Algonac) for in-person fellowship per MCL 450.2521 remote permitted.

1.5 Purpose: Religious, charitable, educational within 501(c)(3). No part of net earnings inures to private person except reasonable compensation. No substantial lobbying. No political campaign intervention. ARTICLE II - STATEMENT OF FAITH We follow all teachings of Yeshua HaMashiach ben Yah / Iesous Christos Huios tou Theou / Jesus Christ son of GOD. Salvation through acknowledging Yeshua HaMashiach alone according to Matthew 10:32-33 (the common Judeo-Christian scriptures - see Appendix A). All official teachings are done in direct contextual translation via original Hebrew and Greek translations, as studied, prayed over and meditated over by Reverend William (Bil) Swoffer. Ministries include home ministry, homeless ministry, jail ministry, hospital ministry, scripture studies, field missions, discipleship training, media ministry, and charitable outreach.

ARTICLE II-A - LOVE, NON-DISCRIMINATION, MARRIAGE, AND UNION Non-Discrimination

2.1 This ministry does not discriminate on basis of age, sex, race, color, nationality, national origin, disability, religious background and personal beliefs (Romans Chapter 14 common Judeo-Christian scriptures - Appendix A), or sexual orientation - we will not discriminate against you on these grounds for attendance, fellowship, study, pastoral care, and charitable services. Every person welcome.

2.2 Doctrinal Marriage Definition: Marriage ordained by Yah/Jehovah/GOD as covenant between one biological man and one biological woman as defined at birth per direct contextual translation via original Hebrew and Greek translations.

2.3 Same-Sex Unions: Because ministry does not discriminate per Romans 14, this ministry WILL perform same-sex unions. However term "marriage" reserved doctrinally for one biological man and one biological woman. Therefore for same-sex couples ministry will perform, bless, recognize union using term "union" in ceremony and certificate, not term "marriage." For one biological man and one biological woman ministry uses term "marriage." Both receive equal pastoral care, love, dignity under Romans 14.

2.4 Language distinction per First Amendment, not refusal of service. One Entity Recognition: Ministry will recognize married couples and union couples as one entity (Genesis 2:24 common Judeo-Christian scriptures - Appendix A) in ministry positions and voting per Article IV-A.

ARTICLE III - MEMBERSHIP - NON-VOTING FELLOWSHIP AND LEGAL PROTECTION

3.1 Non-Statutory Non-Voting: Under MCL 450.2305 ministry maintains non-statutory non-voting fellowship. Membership is fellowship not corporate ownership or agency. All legal authority remains with Member and Board of Trustees.

3.2 Open Membership: Anyone may claim membership/fellowship by attending, participating, supporting, or identifying with ministry fellowship, mission, gatherings. No formal application unless Trustees require it. Reflects Romans 14 open-door.

3.3 No Authority Conferred: Membership alone does NOT grant authority to act on behalf of ministry or LLC, incur debt, sign contracts, use ministry name, bank accounts, logos, seals, assumed names including Tr1chotomy Ventures, collect donations, speak publicly, perform ceremonies. Only persons authorized in writing by Managing Member / President may act for ministry.

3.4 Protection if Someone Using Our Name Does Something Wrong: Ministry and LLC THE 21ST CENTURY DISCIPLES OF THE CHRIST LLC DBA Tr1chotomy Ventures is NOT legally responsible for actions, debts, contracts, torts, statements, posts, videos, conduct of any person claiming membership/fellowship/affiliation who acts without written authorization. Any unauthorized use of ministry name, logos, seal, assumed names including Tr1chotomy Ventures is at that person's sole liability. Ministry expressly disavows and not bound by any unauthorized representations, fundraising, promises made by unauthorized person using name. Members who misuse name or act outside written authority may have fellowship revoked.

3.5 No Personal Liability: Members have no personal liability for ministry debts, ministry has no liability for member personal acts outside written authorization. Ministry maintains liability insurance as shield.

ARTICLE IV - BOARD OF TRUSTEES / DIRECTORS

4.1 General Powers: Board manages spiritual and ministry affairs, consistent with LLC Operating Agreement. Ultimate LLC authority remains with Managing Member per MCL 450.4401, but Board provides oversight for IRS 14-point test and insurance.

4.2 Number and Composition: 3 Trustees/Directors as of October 2026.

Seat 1 - President - Spousal Ministry Team - One Entity (Genesis 2:24): Reverend William (Bil) Swoffer and Sister Teresa Swoffer - Swoffer Ministry Team - President Co-Directors - ONE collective vote. Founders.

Seat 2 - Vice President / Trustee: Jeremiah Braidwood Swoffer - Individual Trustee - 1 vote.

Seat 3 - Secretary / Treasurer / Trustee: Rachel Ross - Individual Trustee - 1 vote.

Total: 3 Seats.

4.3 Term: Trustees serve until resignation, removal, death, or replacement by 2/3 vote.

4.4 Meetings: Annual meeting minimum once per year in Port Huron area. Special meetings called by President or any two Trustees. Notice 7 days written or electronic per MCL 450.2521. Remote participation permitted.

4.5 Quorum and Voting: No business unless at least two-thirds (2/3) of voting seats present. With 3 seats quorum = 2. Spousal/Union Team counts as ONE seat though two persons for quorum and vote. If team disagrees vote = abstention. All major decisions including appointment/removal, ordination, purchases over $100, authorization to use name/logo, budget approval must pass by two-thirds (2/3) majority of entire Board (2 of 3).

4.6 Vacancies and Removal: Vacancies filled by 2/3 vote of remaining Trustees. Trustee may be removed by 2/3 vote for cause including breach of fiduciary duty, misuse of name, moral failure per Statement of Faith.

4.7 Compensation: Trustees serve without compensation except reasonable reimbursement and reasonable pastoral compensation if also Officer/employee approved under Conflict of Interest Policy.

4.8 Action Without Meeting: Action without meeting permitted if consent in writing signed by all Trustees.

ARTICLE IV-A - SPOUSAL / UNION MINISTRY TEAM - ONE FLESH, ONE ENTITY, ONE VOTE Our ministry will recognize married couples and union couples as one entity (Genesis 2:24 common Judeo-Christian scriptures - Appendix A) - Therefore a man shall leave his father and his mother and hold fast to his wife, and they shall become one flesh - Hebrew echad = one entity - in case of ministry positions and voting. Applies to both marriage (one man one woman) and union (same-sex union per Article II-A). One Entity, One Seat, One Vote. If team disagrees vote = abstention. Limit two Spousal/Union Teams maximum.

ARTICLE V - OFFICERS

5.1 Officers: President, Vice President, Secretary, Treasurer. Secretary/Treasurer may be one person. Officers must be Trustees or Managing Member. Spousal/Union Team may hold one Officer position as one entity per Genesis 2:24.

5.2 President: Chief spiritual and executive. Reverend William (Bil) Swoffer and Sister Teresa Swoffer - Swoffer Spousal Ministry Team - President Co-Directors - One Entity per Genesis 2:24. Presides at meetings, signs deeds, mortgages, contracts authorized by Board, represents ministry publicly. Managing Member of LLC per MCL 450.4401. Chief financial. Keeps books, receives/deposits funds, disburses per budget and Board authorization, renders accounts, prepares financial reports.

5.3 Vice President: Jeremiah Braidwood Swoffer. Performs President duties if President unable.

5.4 Secretary/Treasurer: Rachel Ross. Keeps minutes, notices, corporate records, seal, membership roll. Certifies documents. Maintains copy of this Constitution at principal office.

5.5 Removal and Vacancy: Officers removed by 2/3 vote. Vacancy filled by 2/3 vote.

ARTICLE VI - FINANCES - FISCAL CONTROLS

6.1 Fiscal Year: January 1 to December 31 unless Board sets otherwise.

6.2 Books and Records: Accurate books kept at principal office per MCL 450.2487. Open to Trustee inspection. Annual financial statement prepared.

6.3 Budget: Annual budget approved by Board by 2/3 vote. No expenditure over $100 beyond budget without Board approval unless Managing Member emergency with ratification at next meeting.

6.4 Deposits: All funds deposited in name of THE 21ST CENTURY DISCIPLES OF THE CHRIST LLC DBA Tr1chotomy Ventures in bank designated by Board.

6.5 Checks: Checks over $250 require signature of two Officers (or one Officer + Managing Member). Under $250 one Officer may sign. No checks to cash.

6.6 Loans: No loans contracted without 2/3 Board approval. No loans to Trustees/Officers except approved under Conflict of Interest.

6.7 Gifts: Board may accept any contribution, gift, bequest for general or special purpose consistent with 501(c)(3) and 508(c)(1)(A).

6.8 Financial Review: Annual review by independent person if revenue over $50k.

ARTICLE VII - CONFLICT OF INTEREST POLICY - IRS COMPLIANT

7.1 Purpose: Protect ministry interest when contemplating transaction that may benefit private interest of Trustee/Officer/Member or family.

7.2 Interested Person: Any Trustee, Officer, Member, key employee who has direct/indirect financial interest.

7.3 Disclosure: Interested Person must disclose existence and nature of financial interest to Board, disclose all material facts.

7.4 Determination: After disclosure, Interested Person leaves meeting during discussion and vote. Remaining Board determines if conflict exists.

7.5 Procedures: Chair appoints disinterested person/committee to investigate alternatives. Board determines if ministry can obtain more advantageous transaction without conflict. If not, Board by majority of disinterested Trustees determines if transaction in ministry best interest, fair and reasonable, votes whether to enter transaction.

7.6 Violation: If Board has reasonable cause to believe failure to disclose, inform of basis and afford opportunity to explain. If after hearing Board determines failure to disclose, take appropriate disciplinary and corrective action.

7.7 Records: Minutes must contain names disclosing, nature interest, action taken, names present, content discussion including alternatives, record vote.

7.8 Annual Statements: Each Trustee/Officer annually signs statement affirming receipt, understanding, agreement to comply, understanding ministry is charitable.

7.9 No Private Inurement: No part of net earnings inures to benefit of private person except reasonable compensation.

ARTICLE VIII - TR1CHOTOMY VENTURES - BUSINESS ARM RAN BY MINISTRY Tr1chotomy Ventures is DBA and business arm ran by THE 21ST CENTURY DISCIPLES OF THE CHRIST LLC.

Symbol: 3 inside 1 (Tr1chotomy) = Body, Soul, Spirit in One - Dark purple 3 inside gold 1 in THE 21ST CENTURY seal and in Tr1chotomy Ventures logo.

All business activities under Tr1chotomy Ventures remain under moral oversight of ministry. Unauthorized use prohibited per Article III.

Managing Member has authority to conduct daily business operations under Tr1chotomy Ventures within approved budget.

ARTICLE IX - INDEMNIFICATION AND INSURANCE

9.1 Indemnification: Ministry shall indemnify to fullest extent permitted by Michigan law any Trustee, Officer, Member, employee, volunteer who was or is party to proceeding by reason of fact he/she is/was Trustee/Officer/employee against liability incurred, if acted in good faith and in manner reasonably believed in best interest of ministry.

9.2 Insurance: Ministry shall carry liability insurance via Brotherhood Mutual or similar as THE 21ST CENTURY DISCIPLES OF THE CHRIST LLC DBA Tr1chotomy Ventures. Insurance is corporate shield. Board shall annually review coverage.

9.3 No Indemnification for Unauthorized Acts: No indemnification for persons acting without written authorization per Article III.

ARTICLE X - AMENDMENTS

10.1 Amendments: These Constitution, Bylaws, and Statement of Faith may be amended, altered, repealed, restated by two-thirds (2/3) vote of entire Board of Trustees at any regular or special meeting where quorum present, provided 14 days written notice stating proposed amendment. With 3 seats, amendment requires 2 votes of 3.

10.2 LLC Operating Agreement: Any amendment to LLC Operating Agreement that conflicts with this Constitution requires same 2/3 vote and must be attached as exhibit.

10.3 Statement of Faith Protection: Article II and II-A may only be amended by unanimous vote including Swoffer Team founders seat while founders living, thereafter 2/3 vote.

10.4 Michigan Filing: If amendment changes LLC Articles, file amended Articles with LARA.

ARTICLE XI - DISSOLUTION

11.1 Voluntary Dissolution: Ministry may dissolve by 2/3 vote of Board. Upon dissolution file Certificate of Dissolution with LARA.

11.2 Distribution: After paying debts, remaining assets distributed to one or more 501(c)(3) organizations or churches organized and operated exclusively for charitable, religious, educational purposes as Board selects. No assets to private person.

11.3 DBA Termination: Upon dissolution Tr1chotomy Ventures DBA automatically terminated. File termination with LARA and County.
